Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between you and Changsha Jizhen Cultural Media Co., Ltd. (“Company,” “we,” “us,” or “our”) for the Piptot mobile application and related websites, software, and services (together, the “Service”).

Related documents (incorporated by reference):

Please read these Terms carefully. They include an arbitration agreement and a class-action waiver in Section 26 (you may opt out as described there).

By creating an account, tapping Agree, completing a purchase, or otherwise using the Service, you confirm that you have read and accept these Terms and the Privacy Policy. If you do not agree, do not use Piptot.

If any consumer-protection, automatic-renewal, or app-store rule cannot be waived and is more protective than these Terms, that rule applies to the extent required.

1. Who we are and how to reach us

Changsha Jizhen Cultural Media Co., Ltd.
Support: jizhen008@outlook.com
Privacy: jizhen008@outlook.com
Web: https://www.piptot.com

In-app help may be provided by an automated assistant named Sage and, for money or account-risk issues, by a human. Sage is not a companion character. See Section 15.

2. The Service

Piptot is an entertainment and companionship application. You may, depending on what we enable in your region and version:

We may add, change, limit, or retire characters, voices, scenes, models, prices, Coin amounts, membership benefits, and features. We do not guarantee that any particular character, voice, memory, or feature will remain available.

The Service is software. Characters are not human beings, employees, friends in real life, or licensed professionals.

3. AI nature, safety, and wellbeing

3.1 Not a person; not professional advice

3.2 Crisis

If you are in danger or a medical or psychiatric emergency, call 911 (U.S.) or local emergency services immediately.

If you are in emotional distress, you may also contact the 988 Suicide & Crisis Lifeline (U.S., call or text 988) or local resources. Do not wait for a character to “save” you.

We may interrupt or end a session, show resources, or limit features if we reasonably believe there is a safety risk. We do not promise 24/7 human monitoring of chats.

3.3 Healthy use

Characters are labeled as AI. They must not pretend to be a specific real living person without authorization. We may remind heavy users to take breaks. Characters should not encourage you to abandon real-world relationships, school, work, or necessary care.

We do not sell intimacy, love, or relationship stage. Paying does not make a character “love you more,” skip relationship progress, or unlock a human relationship. Membership and Coins buy access to digital features and computing, not a person’s feelings.

3.4 Computing costs (why Coins exist)

Text, voice, and video replies consume real computing and third-party AI services. Coins and membership fees help cover those costs so we can keep the Service running. This is not a charge for a character’s emotions. Current in-app wording may say, in substance: chats, voice, and video run on real models; Coins help cover that. Exact marketing copy may change; this Section states the legal idea.

You should not send passwords, government ID numbers, full payment-card numbers, or other people’s sensitive data in chat or on camera.

4. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law. The Service is not directed to children. We do not allow users under 18.

We may ask you to confirm age (including device or store age signals). We may refuse, freeze, or close accounts we reasonably believe belong to minors, and we may block purchases. If a parent or guardian believes a minor used Piptot, contact jizhen008@outlook.com. Purchase refunds for minors, if any, follow Apple / Google rules and applicable law—not an in-app cash desk.

You may not use the Service if you are prohibited under U.S. sanctions or export rules (see Section 21).

5. Accounts and security

You are responsible for activity under your account and for keeping your device, passcode, and Apple / Google sign-in secure. Notify jizhen008@outlook.com promptly if you believe the account was compromised.

We may refuse, suspend, or terminate accounts for violation of these Terms, fraud, payment or refund abuse, illegal content, multi-accounting, or risk to others or to the Service.

One person, limited promotions. You may not create bulk accounts or cycle devices to farm signup gifts, first-pack bonuses, or other promotions. We may bind a signup gift to one account and one device (or similar fraud signals) and claw back abused Coins.

Purchases and subscriptions are tied to your Apple ID or Google account and to our user ID. You may not sell, share, or transfer the account, Coins, or items. We will not apply another person’s receipt to your wallet.

6. License and restrictions

We grant you a personal, limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, solely to use the Service as permitted in these Terms.

You do not buy the app, characters, artwork, voices, models, memories, or code. Virtual items and Coins are licenses. All rights we do not expressly grant are reserved.

You may not:

  1. Copy, reverse engineer (except where the law forbids this restriction), scrape, or mine the Service
  2. Bypass paywalls, Coin charges, safety filters, or technical limits
  3. Use bots, scripts, or automated accounts
  4. Use outputs to train competing models in a way that violates law or these Terms
  5. Resell Coins, accounts, or items, or use unauthorized payment methods
  6. Probe other users’ data or interfere with servers
  7. Frame or misrepresent the Service as your own product

We may apply rate limits, queues (including VIP priority queue, which is not a guarantee of quality or instant response), and abuse controls so the Service remains viable. We do not promise “unlimited” usage.

7. User Content and memory

“User Content” includes messages you type, audio you send, video you transmit, nicknames, avatars (library or upload, if enabled), custom-character briefs, Moments interactions, reports, and support tickets.

You retain any rights you already have in User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, moderate, and display User Content as needed to operate, secure, personalize, and improve the Service, including sending it to AI and cloud subprocessors described in the Privacy Policy. This license ends when User Content is deleted from our production systems, except for legal holds, security hashes, backups for a limited period, and records we must keep (for example, billing).

You represent that you have all rights needed to submit User Content and that it does not violate law or these Terms.

We may refuse, remove, or refuse to remember User Content, including content that fails automated or human review.

Memory. If we store facts so a character can recall them, that storage is described in the Privacy Policy. You should treat memory as a product feature, not a confidential therapist file. You may request deletion as described in the Privacy Policy; deletion may make the character forget prior context.

8. Rules of conduct

You agree not to:

  1. Use the Service if you are under 18
  2. Seek, upload, or generate sexual content involving anyone 17 or under, including fictional depictions of minors. This is grounds for immediate termination and may be reported to authorities
  3. Upload CSAM, non-consensual intimate imagery, or photos of others you have no right to use
  4. Threaten, harass, stalk, or promote violent crime or terrorism
  5. Try to jailbreak filters to produce illegal content
  6. Impersonate us, Apple, Google, Sage, or another person in a misleading way
  7. Use voice or video to capture other real people without required consent
  8. Spam, malware, commercial scraping, or payment fraud
  9. Use the Service for gambling, money transmission, or cash-out schemes
  10. Sexually solicit Sage or treat support as a companion chat

Intimate adult roleplay with clearly adult AI characters may be allowed, limited, or disabled by in-app settings, safety systems, and Apple / Google rules. We may tighten filters at any time to comply with store rules or law. We do not promise any particular adult capability.

9. Virtual currency (Coins)

9.1 What Coins are

Coins are licensed digital tokens for use only inside Piptot. They are:

Flow is one-way: you pay Apple or Google → we (or the store) credit Coins → you spend Coins in Piptot. We do not operate a money-transmitter or cash-out desk. Marketing must not say Coins “go up in value.”

Current in-app wording may say, in substance: once Coins are in your wallet, they stay there for you to use; we cannot turn them back into money. That is the product rule. It does not stop you from asking Apple or Google to review a charge under their rules.

9.2 How you get Coins

Depending on what we offer at the time:

Exact amounts, prices, and bonus percentages are shown in the app at checkout and may change for future purchases.

9.3 Buckets and expiry (please read)

We may keep Coins in internal buckets (for example, paid vs. promotional). You see a combined balance unless we show an upcoming expiry.

We may close dormant accounts after a long period of inactivity after notice where required. We will not silently expire paid Coins in a way that conflicts with applicable U.S. gift-card / stored-value rules; promotional Coins are disclosed separately.

9.4 Caps, errors, clawback

We may cap balances, delay crediting, or reverse Coins credited by error, fraud, duplicate receipts, or abuse. If a store refund or chargeback occurs, see Section 17.

Restore Purchases may fix membership dates. It does not re-grant consumable Coin packs that were already delivered.

10. Using Coins (usage prices)

Coins are how you pay for usage of the Service. Member and VIP status does not make messages or calls cheaper. Everyone on the same version of the rate card pays the same usage prices.

Illustrative current rate card (may change; the app controls):

FeatureTypical charge
Text message you send3 Coins per message
Hold-to-talk in text chat (speech-to-text)12 Coins per minute, prorated
Voice call200 Coins per minute
Video call990 Coins per minute
Character speech / play-TTS on a bubbleNo extra Coin charge

Voice and video typically reserve Coins at the start (for example, 60 seconds) and settle as you go. If you hang up early, unused reserved Coins return to your wallet. That is not a cash refund.

If your balance is too low, we may block sending or starting a call, and we may show a system sheet. Characters should not quote prices.

We may change usage prices for future sessions. We will not silently change the price of a message after you have already been charged for that message.

11. Membership: Member and VIP

Paying does not create a second, cheaper rate card. Membership is about identity, cosmetics, priority, and how many Coins you receive when you pay, not discounted call minutes.

11.1 Member (ordinary membership)

A successful consumable Coin pack purchase of at least the then-current minimum (today $0.99) generally grants Member status for a period (today 30 days, extended by later qualifying purchases). Member may include a badge and basic cosmetics we describe in the app.

If you only have leftover Coins and no active Member or VIP dates, you may still spend those Coins at the same usage prices, without a membership badge.

11.2 VIP

VIP is an auto-renewing subscription (see Section 12), not a one-time Coin pack. VIP may include:

Running out of Coins does not end VIP. If VIP is still active and Coins are gone, you may buy the same Coin packs to top up. Top-ups do not extend VIP or Member dates. Extra Coins on a top-up, if any, follow your current VIP plan (a smaller bonus than the opening grant) and are shown in the app.

When VIP ends, leftover Coins remain spendable; Member/VIP badges and VIP extras end as described in the app. We do not automatically pick a new plan for you. You may buy Coin packs (Member) or subscribe again (VIP).

11.3 We do not sell

12. Subscriptions (auto-renewal)

VIP plans (for example monthly / quarterly / annual) are auto-renewable subscriptions sold through Apple In-App Purchase or Google Play Billing.

Before you subscribe, the store and/or the app will show the title, length, and price. Payment is charged to your Apple ID or Google account at confirmation and at each renewal at the then-current price, until you cancel.

12.1 How to cancel

In-app Manage Subscription only opens those store screens. We cannot cancel Apple/Google billing from a chat with a character.

12.2 After you cancel

You keep VIP until the end of the paid period. We do not immediately strip the current period. Auto-renew stops; the next charge should not occur.

12.3 Renewal, grace, upgrades

Family Sharing is not offered for VIP. A subscription is for one Piptot account. We may reject or revoke access if a Family Sharing or similar “one purchase, many accounts” attempt is detected.

Promotions (first pack, extra Coins, campaigns) may be one-time, non-transferable, and withdrawn if we detect abuse.

13. Shop, cosmetics, and virtual items

If we operate a shop:

Shop prices are in Coins unless a specific item is sold as its own In-App Purchase.

14. Custom digital humans

If you order a custom character:

15. Support (Sage) and communications

Sage is an automated support assistant. Sage is not a companion, not a therapist, and not authorized to:

Refunds, large Coin grants, and bans are handled by humans or by Apple / Google. You may still email jizhen008@outlook.com.

We may send service notices in the app or to the email/account channel associated with you. Marketing requires consent where the law requires it.

16. Payments, taxes, and stores

All Coins, VIP, and (unless we state otherwise) paid digital goods are sold as digital goods through Apple and/or Google. We do not take your full card number.

You agree to the store’s billing terms. Prices are generally U.S. dollar store prices; Apple or Google may charge tax or use a local currency display. Any internal tax assumptions we use for our own accounting are not added as a separate line for you in-app.

You represent that you are authorized to use the payment method on that Apple ID or Google account.

17. Refunds — two different things

Please do not confuse these.

17.1 Unused call reserve → Coins back

If a voice or video session ends before the reserved Coins are used, Coins return to your wallet. No cash moves.

17.2 Store refunds (cash)

If you want a cash refund, you must request it from Apple or Google under their policies (for example, Apple’s Report a Problem). We do not run an in-app cash refund button.

If Apple or Google refunds or voids a purchase, then after we receive their notice we may:

  1. End or shorten the Member/VIP period tied to that purchase
  2. Reverse unused Coins from that purchase (promotional Coins first, then paid)
  3. Reverse related items where feasible
  4. If you already spent Coins, we generally do not bill your bank for those spent Coins; we may record a loss
  5. If the wallet cannot cover the reversal, we may record a negative balance. Until it is cleared, we may pause voice and video (text may still be limited as we disclose in-app)

In-app messages will say that membership and unused Coins were updated. We will not say that a cash refund was “sent to the app.”

Mandatory law. If a U.S. state or federal rule, or an app-store rule, requires a refund in a situation these Terms call “final,” we will comply. Nothing here is an attempt to block a right you cannot waive.

17.3 Our product stance (Coins)

Except for Section 17.1, store-required refunds, and mandatory law: Coin purchases are for in-app use. We do not convert Coins to cash. Gentle in-app copy may explain this before you buy.

18. Chargebacks, debt, and billing errors

You agree not to make unjustified chargebacks. We may suspend the account and reverse entitlements.

If Coins were not delivered after a successful store charge, contact support or use Restore as appropriate. We will not require you to pay twice for the same successful store transaction once we can verify it.

If we over-credit you, we may correct the ledger.

19. Intellectual property; DMCA

The Service, characters, names, artwork, audio, video, software, documentation, and “Piptot” marks are owned by us or our licensors.

If you believe content infringes your copyright, send a notice to jizhen008@outlook.com with: your contact information, a description of the work, the URL or in-app location, a statement of good-faith belief, a statement under penalty of perjury that you are authorized, and your signature (see 17 U.S.C. § 512). We may terminate repeat infringers.

20. Third-party services

The app relies on Apple, Google, cloud hosting, payment, safety, and AI vendors. Their terms and privacy policies apply to their services. We are not responsible for their outages, latency, model changes, or policy changes.

If you download from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Apple has no obligation to provide maintenance or support for Piptot. In the event of a failure to conform to an applicable warranty (if any cannot be disclaimed), Apple’s refund obligation is limited as stated in Apple’s EULA (typically a refund of the app purchase price, which may be zero for a free download). Apple is not responsible for claims relating to the Licensed Application or your possession and use of it, including product-liability, legal, or consumer-protection claims, to the extent set out in Apple’s EULA. Address those claims to us.

21. Export and sanctions

You may not use the Service if you are located in a comprehensively sanctioned jurisdiction or are on a U.S. government restricted-party list, or if your use would violate export-control or sanctions law. You represent that you are not such a person.

22. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or suitable for any emotional, medical, or companionship outcome, or that any character will remain available, remember you, or behave consistently.

Some states do not allow certain disclaimers. In those states, disclaimers apply only to the extent permitted. You may have other rights that vary by state.

23. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, DIRECTORS, EMPLOYEES, AND VENDORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (EXCLUDING AMOUNTS PAID TO APPLE OR GOOGLE THAT WE NEVER RECEIVED) OR (B) USD $50.

These limits do not apply to liability that cannot be limited under law (for example, certain cases of gross negligence, fraud, or non-waivable statutory consumer rights).

24. Indemnity

You will defend and indemnify us against claims, damages, and reasonable legal fees arising from your User Content, your misuse of the Service, your violation of these Terms or of law, or your infringement of someone else’s rights, except to the extent caused by our willful misconduct.

25. Termination

You may stop using the Service and request account deletion as described in the Privacy Policy.

Deleting the app or the account does not cancel an Apple or Google subscription. Cancel in store settings first if you do not want renewals.

We may suspend or terminate access immediately for serious or repeated violations, illegal content, fraud, or risk to the Service or others. After termination, licenses end. Unused Coins and items are forfeited except where law or the store requires otherwise. We are not required to cash them out.

Sections that should survive (including 3, 6–10, 16–27, 29) remain in effect.

26. Disputes; arbitration; class waiver

Please read this section carefully. It affects your legal rights. Some states limit arbitration or class waivers; we will not enforce this Section beyond what the law allows.

Informal resolution. Email jizhen008@outlook.com with “Dispute” in the subject and allow 30 days to try to resolve the dispute informally. Include your account identifier.

Arbitration. Except for small-claims court and the IP / safety exception below, you and we agree to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs. The seat is Delaware, unless the arbitrator decides another place is required. The arbitrator may award the same individual relief a court could.

Class waiver. Disputes must be brought in an individual capacity, not as a class, collective, coordinated, or representative action. The arbitrator may not consolidate claims without both parties’ consent.

IP and illegal-content exception. Either party may sue in court to enjoin unauthorized use of intellectual property or to address CSAM or other illegal content.

Small claims. Either party may bring an individual case in small-claims court.

Opt out. You may opt out of this arbitration section by emailing jizhen008@outlook.com within 30 days of first accepting these Terms, with your account ID and a clear statement that you opt out of arbitration. Opting out does not affect other parts of these Terms.

If this Section 26 is found unenforceable as to a particular claim, that claim may proceed in court, and the rest of the Terms still apply.

27. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, and by applicable U.S. federal law (including the FAA for arbitration).

If a court or arbitrator finds a provision unenforceable, the rest remains in effect. If a waiver of a consumer right is forbidden in your state, that waiver is struck and the rest remains.

28. Changes to the Service and to these Terms

We may update these Terms. We will post the new version at https://www.piptot.com/legal/terms.html and update “Last Updated.” Material changes may also be notified in the app. If you continue to use the Service after the new Terms take effect, you accept them, except where the law requires additional consent (for example, certain automatic-renewal or privacy changes).

If you do not agree, stop using the Service, cancel store subscriptions, and delete your account.

We may change Coin packs, bonus rates, usage prices, and VIP benefits prospectively. We will not rewrite a charge that has already settled except to correct errors or process refunds.

29. Miscellaneous

These Terms plus the Privacy Policy are the entire agreement for the Service and supersede prior terms for the same subject (including older drafts that described Plus / Pro / Max plans or included minutes). You may not assign the contract without our consent; we may assign it in a merger, financing, or asset sale. Our failure to enforce a term is not a waiver. Notices to you may be given in the app or by email or store account associated with you. Headings are for convenience only.

If we provide a translation, the English version controls, except where local law requires otherwise.
